Intelomatic

Introduction

These Terms & Conditions ("Agreement") govern the use of Intelomatic's Solutions ("Services"). By accessing or using our Services, you agree to comply with these terms. If you do not agree with any part of these terms, you may not use our Services.

Definitions

• "Intelomatic" refers to the provider of the Services.

• "Client" refers to any individual or entity accessing or using Intelomatic's Services.

• "Services" refer to the Solutions provided by Intelomatic.

• "Agreement" refers to these Terms & Conditions.

Use of Services

• Clients may use Intelomatic's Services solely for internal business purposes.

• Clients shall not sublicense, resell, or distribute the Services without prior written consent from Intelomatic.

Fees and Payment

• Clients shall pay all fees associated with the Services as per the agreed-upon pricing.

• Payment terms and methods will be specified in the Service Agreement.

Intellectual Property

• All intellectual property rights in the Services and associated materials remain the property of Intelomatic.

• Clients may not reproduce, modify, or create derivative works of the Services without explicit permission from Intelomatic.

Confidentiality

• Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the provision of Services.

• This obligation of confidentiality shall survive the termination of this Agreement.

Limitation of Liability

• Intelomatic shall not be liable for any indirect, incidental, or consequential damages arising out of the use of the Services.

• In no event shall Intelomatic's total liability exceed the amount paid by the Client for the Services in the preceding twelve months.

Termination

• Either party may terminate this Agreement upon written notice if the other party breaches any material provision of these terms.

• Upon termination, all rights and licenses granted under this Agreement shall cease.

Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Entire Agreement

• This Agreement constitutes the entire understanding between Intelomatic and the Client regarding the Services and supersedes all prior agreements and understandings.
